Scope

1.1 These General Terms and Conditions apply to all business relationships between SWiCA Conference Technology e.K. (hereinafter “SWiCA”) and its customers.

1.2 These GTC apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, or special funds under public law.

1.3 Any conflicting or deviating terms and conditions of the customer shall not be recognised unless SWiCA expressly agrees to their applicability in writing.

1.4 These GTC shall also apply to future transactions with the customer unless expressly agreed otherwise.

Offers and Conclusion of Contract

2.1 Offers made by SWiCA are subject to change and non-binding.

2.2 A contract shall only be concluded upon written order confirmation by SWiCA or upon performance of the delivery or service.

2.3 Information contained in offers, brochures or technical documents does not constitute a guaranteed characteristic unless expressly designated as such.

Prices

3.1 The prices agreed at the time the contract is concluded shall apply, plus the statutory value added tax applicable at that time.

3.2 Unless otherwise agreed, prices are ex warehouse Mannheim, plus packaging, shipping and insurance costs.

3.3 Assembly and installation services shall be charged separately unless expressly included in the offer.

Payment

4.1 Invoices are payable without deduction within 30 days of the invoice date unless otherwise agreed.

4.2 In the event of default in payment, the statutory provisions pursuant to Sections 286 et seq. BGB shall apply.

4.3 SWiCA shall be entitled to request reasonable instalment payments for larger projects.

4.4 Set-off against or withholding of payments is permitted only on the basis of claims that are undisputed or have been finally adjudicated.

4.5 If, after conclusion of the contract, circumstances become known that are likely to materially impair the customer’s creditworthiness, SWiCA shall be entitled to demand advance payment or security, or to withdraw from the contract.

Delivery and Performance Period

5.1 Delivery dates shall be binding only if expressly confirmed in writing.

5.2 Delivery periods shall not commence until all technical and commercial matters have been fully clarified.

5.3 Partial deliveries are permissible insofar as they are reasonable for the customer.

5.4 Events of force majeure or other unforeseeable events beyond SWiCA’s control shall entitle SWiCA to a reasonable extension of the delivery period.

Shipping and Transfer of Risk

6.1 Shipping shall be carried out at the customer’s expense and risk.

6.2 Risk shall pass to the customer no later than upon handover of the goods to the carrier.

6.3 If shipment is delayed for reasons for which the customer is responsible, risk shall pass to the customer upon notification that the goods are ready for shipment.

Retention of Title

7.1 The delivered goods shall remain the property of SWiCA until all claims arising from the business relationship have been paid in full.

7.2 The customer is obliged to handle the goods subject to retention of title with due care.

7.3 Pledging or transfer by way of security of the goods subject to retention of title is not permitted.

7.4 In the event of third-party access to the goods subject to retention of title, the customer must inform SWiCA without delay.

Duty to Inspect and Give Notice of Defects

8.1 The customer is obliged to inspect the goods immediately upon delivery.

8.2 Obvious defects must be reported in writing without delay and no later than within 7 days of delivery.

8.3 Hidden defects must be reported without delay after their discovery.

8.4 If proper notice of defects is not given, the goods shall be deemed approved (Section 377 of the German Commercial Code, HGB).

Warranty

9.1 The warranty period shall be 12 months from delivery, insofar as legally permissible.

9.2 In the event of justified defects, SWiCA shall initially be entitled to subsequent performance.

9.3 If subsequent performance fails, the customer may, at its discretion, demand a price reduction or withdraw from the contract.

9.4 Warranty claims shall be excluded in the event of improper use, modification or repair by third parties.

Liability

10.1 SWiCA shall have unlimited liability in cases of intent, gross negligence and injury to life, limb or health.

10.2 In the event of a slightly negligent breach of material contractual obligations, SWiCA shall be liable only for the foreseeable loss typical of the contract.

10.3 Any further liability is excluded.

10.4 Liability under the German Product Liability Act shall remain unaffected.

Cancellation

11.1 If the customer cancels an order, SWiCA shall be entitled to charge a flat-rate cancellation fee amounting to 20% of the order value.

11.2 The customer shall remain entitled to prove that a lower loss was incurred.

11.3 Cancellation is excluded for products specially procured or manufactured.

Rights of Use in Documents

SWiCA reserves all ownership rights and copyrights in cost estimates, drawings, plans and other documents.

Disclosure to third parties requires prior written consent.

Place of Performance and Jurisdiction

13.1 The place of performance for all services shall be Mannheim.

13.2 The place of jurisdiction for all disputes arising from the business relationship shall be Weinheim, provided that the customer is a merchant.

13.3 The law of the Federal Republic of Germany shall apply.

Severability Clause

Should any provision of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
